This Non-Exclusive Basic License (Contract Preview Only) License Agreement (the "Agreement"), having been made on and effective as of {CURRENT_DATE_TIME_CST} (the "Effective Date") by and between Myk-El p/k/a Myk-El (the "Producer" or "Licensor"); and Licensee ("You" or "Licensee"), sets forth the terms and conditions of the Licensee's use, and the rights granted in, the Producer's instrumental music file entitled [Beat Title] (the "Beat") in consideration for Licensee's payment of $19.99 (the "License Fee"), on a so-called "Basic License (Contract Preview Only)" basis.
This Agreement is issued solely in connection with and for Licensee's use of the Beat pursuant and subject to all terms and conditions set forth herein.
The Licensee shall make payment of the License Fee to Licensor on the date of this Agreement. All rights granted to Licensee by Producer in the Beat are conditional upon Licensee's timely payment of the License Fee. The License Fee is a one-time payment for the rights granted to Licensee and this Agreement is not valid until the License Fee has been paid.
Licensor agrees to deliver the Beat as a high-quality MP3, as such terms are understood in the music industry. Licensor shall use commercially reasonable efforts to deliver the Beat to Licensee immediately after payment of the License Fee is made. Licensee will receive the Beat via email, to the email address Licensee provided to Licensor.
Term: The Term of this Agreement shall be ten (10) years and this license shall expire on the ten (10) year anniversary of the Effective Date.
In consideration for Licensee's payment of the License Fee, the Producer hereby grants Licensee a limited non-exclusive, nontransferable license and the right to incorporate, include and/or use the Beat in the preparation of one (1) new song or to incorporate the Beat into a new piece of instrumental music created by the Licensee. Licensee may create the new song or new instrumental music by recording his/her written lyrics over the Beat and/or by incorporating portions/samples of the Beat into pre-existing instrumental music written, produced and/or owned by Licensee. The new song or piece of instrumental music created by the Licensee which incorporates some or all of the Beat shall be referred to as the "New Song". Permission is granted to Licensee to modify the arrangement, length, tempo, or pitch of the Beat in preparation of the New Song for public release. This License grants Licensee a worldwide, non-exclusive license to use the Beat as incorporated in the New Song in the manners and for the purposes expressly provided for herein, subject to the sale restrictions, limitations and prohibited uses stated in this Agreement. Licensee acknowledges and agrees that any and all rights granted to Licensee in the Beat pursuant to this Agreement are on a NON-EXCLUSIVE basis and Producer shall continue to license the Beat upon the same or similar terms and conditions as this Agreement to other potential third-party licensees.
The New Song may be used for any promotional purposes, including but not limited to, a release in a single format, for inclusion in a mixtape or free compilation of music bundled together (EP or album), and/or promotional, non-monetized digital streaming; Licensee may perform the song publicly for-profit performances, including but not limited to, at a live performance (i.e. concert, festival, nightclub etc.), on terrestrial or satellite radio, and/or on the internet via third-party streaming services (Spotify, YouTube, iTunes Radio etc.). The New Song may be played on 0 terrestrial or satellite radio stations; The Licensee may use the New Song in synchronization with One (1) audiovisual work no longer than five (5) minutes in length (a "Video"). In the event that the New Song itself is longer than five (5) minutes in length, the Video may not play for longer than the length of the New Song. The Video may be broadcast on any television network and/or uploaded to the internet for digital streaming and/or free download by the public including but not limited to on YouTube and/or Vevo. Producer grants no other synchronization rights to Licensee; The Licensee may make the New Song available for sale in physical and/or digital form and sell 500 downloads/physical music products and is allowed 50,000 streams. The New Song may be available for sale as a single and/or included in a compilation of other songs bundled together by Licensee as an EP or a full-length Album. The New Song may be sold via digital retailers for permanent digital download in mp3 format and/or physical format, including compact disc and vinyl records. For clarity, the Licensee does NOT have the right to sell the Beat in the form that it was delivered.
Licensee hereby agrees and acknowledges that it is expressly prohibited from taking any action(s) and from engaging in any use of the Beat or New Song in the manners, or for the purposes, set forth below:
- The rights granted to Licensee are NON-TRANSFERABLE and Licensee may not transfer or assign any of its rights hereunder to any third-party;
- Licensee shall not synchronize, or permit third parties to synchronize, the Beat or New Song with any audiovisual works EXCEPT as expressly provided for in one (1) Video (Paragraph 4(b)(iii)).
- The Licensee shall not have the right to license or sublicense any use of the Beat or of the New Song, in whole or in part, for any so-called "samples".
- Licensee shall not engage in any unlawful copying, streaming, duplicating, selling, lending, renting, hiring, etc. of the Beat in its raw form.
- The parties acknowledge and agree the New Song is a "derivative work", and there is no intention to create a joint work.
The Producer (Myk-El) is and shall remain the sole owner of all rights in the Beat. Nothing herein constitutes an assignment of those rights to Licensee. Licensee may not register the New Song or Beat with the U.S. Copyright Office. If requested, Licensee must execute documents to evidence Producer's rights. You do not own the master or sound recording rights in the New Song; you only have the license to use the Beat as stated. However, you own original lyrics or musical components you wrote. With respect to the publishing rights and ownership of the underlying composition, the split is 50% Myk-El / 50% Licensee. The licensee shall be deemed to have accepted all terms upon payment.
If the Beat includes a "Controlled Composition" by Myk-El, mechanical licenses are at 100% of the statutory rate in the US/Canada, and prevailing rates internationally.
Licensee shall use best efforts to credit Producer as “Produced by Myk-El.”
Licensor (Myk-El) may terminate this License within three (3) years by paying Licensee two hundred percent (200%) of the License Fee. Upon such termination, Licensee must remove the New Song from distribution.
The Licensee has five (5) business days from receipt of written notice to cure any breach; failure to do so results in default and possible termination.
The Beat is provided “as is” without warranties. Producer warrants it has the right to enter this agreement; Licensee warrants it has the right to exploit the New Song. Both indemnify each other for breaches or unauthorized uses.
This Agreement is the entire agreement. It is governed by the laws of Houston, TX, with venue in Houston, TX courts. You acknowledge reading and having the opportunity to consult an attorney. Execution can be via email/facsimile. If you do not sign, your payment of the License Fee signifies acceptance.

This Non-Exclusive Pro (Wav + Stems) (Contract Preview Only) License Agreement (the "Agreement"), having been made on and effective as of {CURRENT_DATE_TIME_CST} (the "Effective Date") by and between Myk-El p/k/a Myk-El (the "Producer" or "Licensor"); and Licensee ("You" or "Licensee"), sets forth the terms and conditions of the Licensee's use, and the rights granted in, the Producer's instrumental music file entitled [Beat Title] (the "Beat") in consideration for Licensee's payment of $49.99 (the "License Fee"), on a so-called "Pro (Wav + Stems) (Contract Preview Only)" basis.
This Agreement is issued solely in connection with and for Licensee's use of the Beat pursuant and subject to all terms and conditions set forth herein.
The Licensee shall make payment of the License Fee to Licensor on the date of this Agreement. All rights granted to Licensee by Producer in the Beat are conditional upon Licensee's timely payment of the License Fee. The License Fee is a one-time payment for the rights granted to Licensee and this Agreement is not valid until the License Fee has been paid.
Licensor agrees to deliver the Beat as a high-quality WAV, MP3, Track Stems, as such terms are understood in the music industry. Licensor shall use commercially reasonable efforts to deliver the Beat to Licensee immediately after payment of the License Fee is made. Licensee will receive the Beat via email.
Term: The Term of this Agreement shall be ten (10) years and this license shall expire on the ten (10) year anniversary of the Effective Date.
In consideration for Licensee's payment of the License Fee, the Producer grants Licensee a limited non-exclusive, nontransferable license to use the Beat in one (1) new song. This License grants a worldwide, non-exclusive license, with sale restrictions as stated. The New Song can be used for promotional releases, digital streaming, performed publicly (including 2 terrestrial/satellite radio stations), or synchronized with one (1) video up to five minutes. Licensee can sell up to 2,500 downloads/physical products and is allowed 500,000 streams total.
- NON-TRANSFERABLE, no sub-licenses.
- Beat not for resale in its original form.
- The New Song is a derivative work; no joint authorship intended.
Myk-El remains sole owner of the Beat. Licensee may not register the Beat. Publishing split is 50% Myk-El / 50% Licensee.
If the Beat is a "Controlled Composition," mechanical royalties at 100% statutory in the U.S./Canada.
Must read “Produced by Myk-El.”
Licensor can terminate within 3 years by refunding 200% of the License Fee. Licensee must remove the New Song from distribution.
Five (5) business days to cure after notice or face termination/damages.
The Beat is provided “as is.” Both Producer and Licensee indemnify each other for infringements or breaches.

This Non-Exclusive Unlimited (Best) (Contract Preview Only) License Agreement (the "Agreement"), having been made on and effective as of {CURRENT_DATE_TIME_CST} (the "Effective Date") by and between Myk-El p/k/a Myk-El (the "Producer" or "Licensor"); and Licensee ("You" or "Licensee"), sets forth the terms and conditions of the Licensee's use, and the rights granted in, the Producer's instrumental music file entitled [Beat Title] (the "Beat") in consideration for Licensee's payment of $99.99 (the "License Fee"), on a so-called "Unlimited (Best) (Contract Preview Only)" basis.
This Agreement is issued solely in connection with and for Licensee's use of the Beat pursuant and subject to all terms and conditions set forth herein.
The Licensee shall make payment of the License Fee on the date of this Agreement. All rights granted are conditional upon timely payment. The License Fee is a one-time payment.
Licensor agrees to deliver the Beat (WAV, MP3, Track Stems) promptly after payment to the Licensee's email. Term: ten (10) years; expires automatically at that time.
In exchange for the License Fee, Producer grants a worldwide, non-exclusive license to incorporate the Beat into one (1) new song. The New Song may be used for unlimited promotional, streaming, for-profit public performances, unlimited radio, unlimited sync (up to 5 min videos), unlimited downloads, and unlimited streams. The Beat cannot be sold in its raw form.
- NON-TRANSFERABLE; no sub-licenses.
- The Beat is a derivative component; no joint work.
Producer (Myk-El) retains all rights in the Beat. Licensee cannot register the Beat. The publishing split is 50% Myk-El / 50% Licensee.
Controlled Compositions by Myk-El have standard mechanical royalty rates.

Myk-El -w- Licensee / Producer Agreement / "[Beat Title]"
The following sets forth the material terms and conditions with respect to Myk-El ("Producer", "me", "we", or the like) producing certain recording(s) embodying the musical performance of Licensee ("Artist", "you", "your", or the like). In the event the number of master recordings hereunder is no more than one (1), then all references to "Masters" hereunder shall be read and deemed to refer to one (1) "Master." For good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), the parties hereby agree as follows:
Producer shall produce one (1) musical composition embodying Artist's featured performance for delivery to Artist. For the avoidance of doubt, the Composition remains solely owned by Producer as a pre-existing composition. The territory of this agreement is the Universe. Artist acknowledges satisfactory delivery, receipt, and acceptance.
The Master (excluding the underlying composition) is considered a “work made for hire.” If not recognized as such, it is transferred to Artist. Subject to these terms, Artist has the sole and exclusive right in perpetuity to manufacture, advertise, sell, license, or otherwise exploit the Master in any media. Artist does not have the right to make edits/changes to Producer's composition except as part of the Master.
Artist shall pay to Producer a non-returnable, non-recoupable fee in an amount to be mutually agreed upon. This is an offer-based fee, payable upon execution of this agreement.
If any portion is a Controlled Composition by Producer, mechanical licenses are issued under standard statutory rates.
Underlying composition is split 50% Myk-El, 50% Artist, unless otherwise negotiated. Artist must register Myk-El’s share accurately.
Credit must read “Produced by Myk-El.” Artist may use Producer’s approved name/likeness to promote the Master only.
Producer warrants and represents it can enter this agreement. Artist warrants the same. The Master is provided “as is,” and each party indemnifies the other for any breaches or unauthorized uses.
This agreement is governed by the laws of Texas, with disputes in Houston, TX courts. Notices to support@mykelmusic.com.
No rights are granted until full payment is made. Payment = acceptance if not otherwise signed. Producer reserves all rights not explicitly granted. Execution can be via email/facsimile.
